On 6th August 2026, the Central Bank of Russia (CBR) has updated the requirements for the admission of securities to organised trading. The draft regulation is based on well-established practices that have developed in the market.
It is proposed to introduce a minimum volume of initial public offerings of shares for quotation lists. The share of securities in free float will depend on the size of the issuer’s equity.
Issuers that are going to go public must engage at least two independent analysts to assess the fair value of the company. After the offering, they should receive share ratings from two credit rating agencies.
The new listing rules will enshrine the best practices of corporate governance. In particular, the document describes the criteria for the independence of members of the board of directors, determines the share of independent directors and the list of mandatory committees, and so on.
