On 28th November 2024, the Securities and Exchange Commission (SEC) proposed amendments to the draft Securities and Exchange Act, the draft Derivatives Act, and the draft Trust for Transactions in Capital Market Act, in which the draft Act has already passed the Council of State’s review. For the proposed amendments to the law, they can be divided into 6 important matters, namely:
- Promoting the digital capital market, such as amending laws to fully support electronic processes in the capital market and adding provisions on service providers that are significant to the capital market.
- Supervision of securities business operators and futures business operators, such as improving the supervision of major shareholders of business operators and adding provisions related to the supervision of personnel in the securities business and futures business.
- Supervision of the secondary market and organizations related to the securities business and futures business, such as improving the provisions on securities trading centers to reduce restrictions on establishment and operation, increasing supervisory measures.
- Fund raising, supervision of auditing firms and professionals related to the capital market, such as improvements on the issuance and offering of debt instruments, acquisition of securities for business takeover, and supervision of auditing firms and professionals related to the capital market.
- Increasing the efficiency of law enforcement and the determination of punitive measures, such as granting SEC officers the authority to investigate certain types of offences that have a severe impact on confidence in the capital market system or the country’s economic system.
- Other matters related to the administration of the SEC.
