On 4th August 2026, the Securities and Exchange Commission (SEC) announced that it will revise regulations to provide greater practical clarity for shareholder offerings of companies to be listed on the LiVEx exchange.

This includes addressing cases where existing shareholders wish to offer shares to the public concurrently with the listing of a company on LiVEx, as well as revising the registration statement and draft prospectus to ensure investors receive sufficient and appropriate information for investment decision-making. This aligns with the practices of companies listed on the Stock Exchange of Thailand (SET) and the Market for Alternative Investment (mai), enhances the attractiveness of the LiVEx exchange, supports the competitiveness of the Thai capital market, and promotes fundraising opportunities for Small and Medium Enterprises (SMEs).

The proposed amendments to the regulations are as follows:

(1) Establishing additional criteria to accommodate the offering of shares by existing shareholders who wish to offer shares to the general public at the same time as a company that will offer shares for listing on the LiVEx Stock Exchange.

(2) Amending the registration statement for the offering of securities of small and medium-sized enterprises (Form 69-SME-PO) to require shareholders who wish to offer shares at the same time as a company to disclose all material information completely.
